BY-LAWS OF THE NEW BERN AMATEUR RADIO CLUB, INC.
SECTION I - DUTIES OF OFFICERS
The President shall preside at all meetings of the New Bern Amateur Radio Club, Inc. He shall enforce due observance of the constitution and By-laws, decide all questions of order, sign all official documents that are adopted by the club, appoint committees, and perform all other customary duties pertaining to the office of President.
The Vice President shall assume all duties of the President in the absence of the latter.
The Secretary shall keep minutes of all meetings of the Club and the Executive Board meetings, handle all correspondence of the Club, including letters of appreciation to all guest speakers and to such other persons, firms, or organization as have obligated the Club by their favors, donations, or services. He shall keep the Articles of Incorporation and the Constitution and By-laws of the Club and have copies of them with him at every meeting. He shall thereon, and shall permit these documents to be consulted by members upon request.
The Treasurer shall receive all monies and receipt same, sign checks and disburse the monies in accordance with the instructions of the membership. At the end of each quarter and year, he shall submit in writing a report of all transactions for that period.
The Membership Secretary shall maintain an up-to -date roster of members of the club, encourage amateurs, newly licensed or moving into the area to join the club, and accept and present applications for membership to the membership and send meeting notices as required. He shall be chairman of the Membership committee.
The Communication Officer shall organize club member radio station activities, contests for enjoyment and general interest maintenance. He shall keep informed by questionnaires or other means, of the equipment, normal operating frequencies and hours and types of operation of club membership to facilitate emergency organization and help in planning general interest activities. He may appoint traffic committees or assistants to aid him in specific branches of activity as he sees fit.
The trustee shall attend all officer meetings and his duties shall be in an advisory capacity.
The Term of Office shall be one year as provided in the Constitution. The offices of Secretary and or Membership Secretary, and/or Treasurer may, if necessary, be held by one or two persons. At the end of the term of office each officer shall turn over to his successor all papers, records and other materials pertaining to this office.
SECTION 2 - MEMBERSHIP
Membership in the New Bern Amateur Radio Club, Inc., is open to licensed amateur radio operators. Associate membership is open to all other interested persons. Full membership includes all club privileges as well as rights to hold a club office and to vote for club officers. Associate membership includes all club privileges except for rights to hold a club office and to vote for club officers. Applications for membership shall be submitted to the membership committee.
SECTION 3 - MEETINGS
Regular business meetings shall be held each calendar month at such time and place as the membership shall determine and the total membership shall be notified in writing of the change. Special meetings may be called by the President upon written request of five club members. Written notice shall be sent to members concerning special meetings and business to be transacted. Only such business as designated in said notice shall be transacted. Such notices shall be sent to the entire membership ten days prior to said meeting.
SECTION 4 - DUES
An annual assessment of dues will be made in accordance with the provisions of Article IV of the Constitution to provide funds for current expenses. The amount of this assessment will be set according to the expected needs of the Club by a two-thirds vote of those members present at the November meeting. All dues will become payable at the January meeting and any member whose dues are not paid by March 1 will automatically be dropped from membership for non-payment of dues. A member who is temporarily out of the state on business from January 1 until March 1 will be continued on the roll until he or she has returned to this area for a period of four weeks. Dues for members joining during the year may be prorated after July. No other assessments may be levied against members of the New Bern Amateur Radio Club, Inc. except by a two thirds vote of members at a regular meeting after a written notice to the entire membership ten days prior to that meeting. When two or more licensed amateur radio operators are related by blood or marriage and reside in the same household, each shall be considered a member upon the payment of one dues assessment for the family. The president, during the first month of each calendar year, upon a change of Treasurer, or upon the request of the membership shall appoint a committee of not less than two members to examine/audit the financial records of the New Bern Amateur Radio Club, Inc. The committee will conduct its examination as soon as feasible and reports its findings and recommendations to the President, the Treasurer, and the Membership.
SECTION 5 - MEMBERSHIP COMMITTEE
At the meeting following his installation, the President-elect shall appoint a Membership Committee of not less than three members to assist the Membership secretary who will be Chairman of the committee.
SECTION 6 - PROGRAM COMMITTEE
At the meeting following his installation, the President-elect shall appoint a Program Committee of not less than three members. It shall be the duty of this committee to receive program suggestions, investigate possible programs and to select the program for each meeting.
SECTION 7 - PUBLICITY COMMITTEE
At the meeting following his installation, the President-elect shall appoint a Publicity Committee of not less than three members. It shall be the duty of this committee to promote the maximum publicity for the Club and its activities in all the news media.
SECTION 8 - EXECUTIVE BOARD
The Executive Board of the New Bern Amateur Radio Club, Inc. shall consist of the elected officers. The President shall be chairman of the Executive Board. It shall meet on the call of the President to conduct club business between regular club meetings and all actions of this board shall be reviewed and be subject to ratification by the membership at the next regular club meeting.
SECTION 9 - ELECTIONS
Regular elections shall be held at the November meeting of each year. The president will appoint at the regular meeting in October of each year, a nominating committee. The nominating committee will present a proposed slate of officers to the club at the November meeting. Nominations from the floor may be accepted with prior consent of the person who is being nominated. Nominations shall be taken from the floor in this order: President, Vice President, Secretary, Treasurer, Communication Officer, Trustee, and Membership secretary. The winner of each office shall be determined by majority vote. Voting may be by ballot, and a majority of the votes cast are necessary for election. Each officer shall retain his office for one year. Installation of officers will take place at the January meeting.
SECTION 10 - PROPERTY
All property, cash, or real estate shall be held, used, and if necessary disposed of according to the provisions of the Articles of Incorporation.
SECTION 11 - CHARTER MEMBERS
All club members as of April 16, 1977, shall be considered as charter members of the New Bern Amateur Radio Club, Inc.
